Personal Pre-authorized Debit Agreement
The following terms and conditions apply to personal pre-authorized debits and are made pursuant to the Canadian Payments Association Rule H1. 407 ETR may update these terms and conditions at any time and will provide notice to you of any material changes. Your continued use of the toll highway or lease of a transponder shall constitute your acceptance of these changes.
In accordance with this personal pre-authorized debit (PAD) agreement (this “Agreement”), you hereby authorize 407 ETR Concession Company Limited (“407 ETR”), and the financial institution designated (or any other financial institution you may authorize at any time) to begin debiting the specified bank account as per your instructions for variable monthly payments, for payment of all tolls, fees and other charges related to travel on the toll highway. In so doing, you represent that you have the authority to grant such authorization and are acting in accordance with the terms of your banking agreement. You also consent to the disclosure of personal information, as applicable, to the designated financial institution for PAD transactions.
You hereby waive the 10-calendar day confirmation requirement prior to the first PAD, provided that within 5 calendar days following the date of the first PAD, 407 ETR will provide you confirmation of the key elements of your PAD setup. After the first PAD, variable monthly payments for the full amount owing to 407 ETR will be debited to the specified bank account 10 calendar days from the date of your bill, and you will be notified of the amount and date of each PAD at least 10 calendar days before the due date. Notwithstanding the foregoing, you hereby waive the 10-calendar day notice of the amount and date of each PAD in the event 407 ETR is unable to provide such notice or is unable to otherwise mail, deliver or send your bill to you due to events beyond our reasonable control including, and without limitation, strikes or labour disputes (e.g., postal strike). During such events, you hereby acknowledge and agree that amounts incurred by you may still be charged and are payable in full on the day they are debited to the specified bank account even if the corresponding bill cannot be delivered to you. You may contact us at any time to inquire about such charges including, if applicable, to request a reversal or adjustment within sixty (60) days of such debit occurring.
It is your responsibility to always ensure that sufficient funds are available in the specified bank account and that your information is up to date.If a PAD is returned due to “Non-Sufficient Funds” or “Funds Not Cleared”, 407 ETR may re-attempt the PAD one more time within 30 days for the same amount without any additional charges.
You may cancel your authorization or revoke this Agreement by giving 407 ETR written or (authenticated) verbal instructions at least 10 calendar days before the next scheduled PAD. Upon receiving such instructions, 407 ETR will use best efforts to stop issuing any new PADs before the next billing cycle and, in any case, within 30 calendar days of receiving your notice. 407 ETR may cease issuing PADs or revoke this Agreement upon 30 calendar days’ written notice to you specifying the date of the final PAD and the effective termination date of this Agreement.
407 ETR may assign this Agreement, including any or all of its rights and obligations hereunder by providing you prior written notice of such assignment, including the identity and contact information of the assignee, at least 10 calendar days before any PAD is issued in the assignee’s name.
You have certain recourse rights if any debit does not comply with this Agreement. For example, you have the right to receive reimbursement for any debit that is not authorized or is not consistent with this Agreement. This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Both parties consent to the non-exclusive jurisdiction of Ontario courts for the purpose of any action or proceeding brought by either of them in connection with or arising out of this Agreement.
